The rules, responsibilities, and expectations governing the use of Vintex IT Solutions services and platforms.
1. Acceptance of Terms
By accessing the website at vintexit.com, or engaging our software engineering, AI automation, or consultation services, you agree to be bound by these Terms of Service. If you do not agree with any of these terms, you are prohibited from using or accessing this site and our services.

- Account Responsibility: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
- Password Security: We enforce strong password policies. You agree to immediately notify us of any unauthorized use of your account.
- Social Login Accounts: By linking Google, LinkedIn, or Facebook, you authorize us to retrieve necessary profile data. You must adhere to their respective terms of service.
- Account Suspension: We reserve the right to suspend or terminate accounts that violate these terms, engage in fraudulent activity, or fail to process recurring payments.

5. Payments & Billing
One-Time Projects
- Deposit Requirements: A non-refundable upfront deposit (typically 50%) is required to commence development.
- Milestone Payments: Subsequent payments are tied to agreed-upon project milestones.
- Final Delivery Payments: Final source code and server deployment will only be released upon receipt of the final payment.
Subscription Plans
- Billing: Subscriptions are billed on a Monthly or Annual cycle in advance.
- Renewals: Plans auto-renew unless cancelled at least 7 days prior to the billing date.
- Cancellation: You may cancel via the Client Portal. No pro-rated refunds are provided for partial months.
6. Refund Policy
Consultations: Paid strategy sessions are non-refundable unless cancelled with 24 hours prior notice.
Digital Services & Subscriptions: Due to the immediate nature of digital infrastructure allocation and intellectual labor, subscription fees are non-refundable.
Custom Development: Initial deposits are non-refundable. If a project is cancelled mid-development, the client is responsible for paying for all hours worked up to the cancellation date.
7. Intellectual Property
Vintex Ownership
Vintex IT Solutions retains exclusive ownership of our proprietary frameworks, underlying templates, internal CLI tools, and pre-existing methodologies used to deliver the services.
Client Ownership
Upon full and final payment, the client receives exclusive ownership rights and licenses to the specific, approved Deliverables, Project Assets, and custom business logic developed for them.
8. Acceptable Use
You agree NOT to use our infrastructure, SaaS products, or services to:
- Engage in illegal activities or promote illicit acts.
- Commit fraud or misrepresent your identity.
- Distribute malware, ransomware, or malicious code.
- Abuse our APIs through excessive requests (DDoS).
- Gain unauthorized access to our internal systems or other client databases.
9. Limitation of Liability
IN NO EVENT SHALL VINTEX IT SOLUTIONS, ITS DIRECTORS, EMPLOYEES, OR PARTNERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; OR (III) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.
10. Service Availability
- Maintenance: We perform scheduled maintenance to ensure security and performance. We will attempt to notify enterprise clients prior to significant downtime.
- Downtime: We do not guarantee 100% uptime unless explicitly defined in a separate Enterprise SLA contract.
- Third-Party Dependencies: We are not liable for outages caused by upstream providers (e.g., AWS, OpenAI, GitHub).
11. Termination
We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
If you wish to terminate your account, you may simply discontinue using the Service or request account deletion via the Client Dashboard.
12. Governing Law
These Terms shall be governed and construed in accordance with the laws of Bangladesh, without regard to its conflict of law provisions, unless a different jurisdiction is explicitly configured in your specific Enterprise Contract. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
